Terms & Conditions

Effective Date: September 11, 2025

These Terms & Conditions (“Terms”) govern your access to and use of Mosaic and related services provided by NEXTENDWEB Kft. (“Nextendweb,” “we,” “us,” “our”). By creating an account, downloading, activating, or using Mosaic, you agree to these Terms. If you do not agree, you may not use Mosaic.

Product definition: “Mosaic” refers to the Mosaic WordPress theme builder plugin (licensed under GPLv3) and all related services, including downloads, updates, activation, account management, support, APIs, and CDN-based delivery.

2. Audience, Territory, Language

  • Target users: Business (B2B) and consumer (B2C).
  • Territory: Worldwide, limited to countries supported by our billing provider (FastSpring).
  • Languages: These Terms are available in English and Hungarian. If there is any conflict, the English version controls.

3. Accounts & Access

  • An account is required to download Mosaic, manage domain activations, and receive updates.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • We may suspend or revoke access for fraud, abuse, violations of these Terms, or non-payment.

4. Licensing & GPL

Mosaic’s software code is distributed under the GNU General Public License v3.0 (GPLv3). Your rights to the software code itself are governed by GPLv3. These Terms govern your access to Nextendweb’s services such as downloads, updates, activation, CDN delivery, and support.

  • GPL rights remain unaffected: Termination of your subscription affects access to our services but not your GPL rights to the software code.
  • Per-domain activation: Pro plans include a fixed number of domain activations. Activations are handled via an OAuth-style account flow — there are no public license keys.
  • Transfers: You may transfer a domain activation once per year per subscription.
  • Ownership of output: You retain full ownership of websites, content, and themes you create with Mosaic.

5. Plans, Pricing, Billing

  • Plans: Free and Pro. Free is limited but requires registration.
  • Billing provider: FastSpring. Payment methods: cards, PayPal (as supported by FastSpring).
  • Renewals: Pro subscriptions auto-renew annually unless cancelled.
  • Cancellation: You may cancel at any time; access continues until the end of the current billing period.
  • Refunds: We offer a 14-day no-questions-asked refund policy from initial purchase, even if you have downloaded or activated Mosaic.
  • Taxes/VAT: Collected by FastSpring where required; VAT IDs may be collected.
  • Price changes: Existing subscribers will be notified at least 30 days in advance of any subscription price changes.

6. Delivery, Downloads & Fair Use

  • Delivery: Mosaic is delivered digitally via your account dashboard.
  • Fair use: We may limit downloads, API calls, or CDN usage if your activity negatively impacts other users or our infrastructure.
  • Access revocation: We reserve the right to suspend or terminate services for fraud, abuse, or non-payment.

7. Updates, Compatibility & Support

  • Updates: Provided while your subscription is active, including major versions.
  • Compatibility: Minimum requirements: WordPress 6.7+, PHP 7.4+.
  • Support: Offered via HelpScout. We aim to reply within 3 business days but cannot guarantee response times.
  • Exclusions: Custom development, hosting issues, and third-party conflicts may fall outside support scope.
  • Beta/experimental features: Provided “as is,” with no guarantees, consistent with GPLv3.

8. Acceptable Use Policy (AUP)

You agree not to misuse Mosaic or our services. Prohibited activities include:

  • Using Mosaic for illegal purposes or to violate intellectual property rights.
  • Distributing spam, malware, or phishing content.
  • Attempting to bypass activation, domain limits, or security measures.
  • Overloading services or degrading performance for other users.
  • Reverse-engineering service components (GPL rights to software code remain unaffected).

9. Security Testing

  • Allowed: Security testing of Mosaic’s GPLv3 software on your own environment.
  • Prohibited without consent: Penetration testing of our servers, APIs, CDNs, or activation infrastructure.

10. Third-Party Services

We rely on third-party providers including FastSpring, Bunny CDN, Cloudflare, Linode, Mandrill, HelpScout, Jira, and MailerLite. These services may affect Mosaic’s availability and functionality.

  • We are not responsible for downtime, data loss, or performance issues caused by third-party providers.
  • We reserve the right to substitute providers without prior notice.

11. Data & Privacy

Our processing of personal data is governed by our Privacy Policy. You are responsible for backing up your websites and data; we do not have access to your WordPress installations.

12. EU Consumer Rights

Under EU law, digital content is normally exempt from withdrawal rights once downloading or activation begins. However, we voluntarily offer a 14-day refund window from your initial purchase.

13. Intellectual Property

  • Our IP: Mosaic’s branding, website content, documentation, and service infrastructure are owned by Nextendweb unless otherwise noted. No trademark rights are claimed beyond applicable law.
  • User content: You retain ownership of any sites, designs, or content you create with Mosaic. You grant us a limited license to process account data solely to deliver our services.

14. Open-Source Notices

Mosaic includes open-source components under their respective licenses. Where these licenses conflict with these Terms, the open-source license controls for that component.

15. Disclaimers

Mosaic and all related services are provided “as is” and “as available”, without warranties of any kind. We do not warrant:

  • Uninterrupted availability or error-free operation.
  • Compatibility with third-party products, themes, or plugins.
  • Freedom from vulnerabilities, viruses, or security risks.
  • Availability or reliability of third-party services we depend on.

Use Mosaic entirely at your own risk.

16. Limitation of Liability

To the maximum extent permitted by law:

  • For free plans, our total liability shall not exceed €1.
  • For paid plans, liability is capped at the fees you paid in the 12 months preceding the claim.
  • We are not liable for indirect, incidental, special, or consequential damages, including lost profits, data, or business interruption.

17. Indemnity

You agree to indemnify and hold harmless Nextendweb from any claims, damages, or costs arising from your misuse of Mosaic, violation of these Terms, or infringement of third-party rights.

18. Export Controls & Sanctions

You may not use Mosaic in violation of applicable export laws or in embargoed countries. Our services are unavailable where prohibited by law.

19. Termination

  • We may suspend or terminate services for breach, fraud, non-payment, abuse, or legal obligations.
  • We may also terminate access at our discretion to protect Mosaic or other users.
  • Upon termination, access to updates, downloads, and activation services stops. GPL rights to software code remain unaffected.

20. Governing Law & Jurisdiction

These Terms are governed by the laws of Hungary. Any disputes shall be resolved exclusively in the competent courts of Győr, Győr-Moson-Sopron County, Hungary. By using Mosaic, you waive any right to bring claims in other jurisdictions.

21. Miscellaneous

  • Entire Agreement: These Terms and our Privacy Policy form the entire agreement between you and Nextendweb.
  • Severability: If any part is unenforceable, the rest remains in effect.
  • No waiver: Failure to enforce a provision does not waive our rights.
  • Assignment: We may assign these Terms (e.g. in a merger or sale). You may not assign rights without our written consent.
  • Publicity: We will only display your name, logo, or brand with your explicit consent.
  • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
