These Terms & Conditions (“Terms”) govern your access to and use of Mosaic and related services provided by NEXTENDWEB Kft. (“Nextendweb,” “we,” “us,” “our”). By creating an account, downloading, activating, or using Mosaic, you agree to these Terms. If you do not agree, you may not use Mosaic.

Product definition
“Mosaic” refers to the Mosaic WordPress theme builder software and all related services provided by NEXTENDWEB Kft., including but not limited to:

the Mosaic plugin and its associated theme, distributed as open-source software under the GNU General Public License v3.0 (GPLv3),
installers, downloads, updates, and version delivery,
account management and authentication services,
license activation and site association services,
cloud-based services such as design libraries, themes, templates, and other downloadable or remotely served assets,
support, documentation, and communication channels,
any future features, services, or components offered under the Mosaic name.

Separation of software and services
The Mosaic software source code is licensed under GPLv3. These Terms & Conditions do not limit, modify, or replace any rights granted under the GPLv3 with respect to the software code itself.

Access to services operated by NEXTENDWEB Kft., including updates, installers, cloud resources, activation services, and support, is governed by these Terms and may require an active plan or account, as described below.

2. Audience, Territory, Language

Audience
Mosaic is offered to both business (B2B) and consumer (B2C) users.

Territory
Mosaic is available worldwide, subject to applicable laws and the availability of our billing and payment providers. Access to certain services or features may be restricted in jurisdictions where use or sale is prohibited by law.

Language
These Terms & Conditions are available in English and Hungarian. In the event of any inconsistency or conflict between language versions, the English version shall prevail.

3. Accounts & Access

An account is required to access Mosaic services, including downloads, updates, license activation, cloud resources, and support.

You are responsible for:

providing accurate and complete account information,
maintaining the confidentiality of your login credentials,
all activity that occurs under your account, whether authorized by you or not.

You must not share, sell, or transfer your account credentials to third parties.

We reserve the right to suspend, restrict, or terminate your account or access to Mosaic services, with or without notice, if we reasonably believe that you have:

violated these Terms,
engaged in fraud, abuse, or unlawful activity,
attempted to bypass licensing, activation, or technical restrictions,
failed to pay applicable fees, or
used Mosaic or our services in a way that may cause harm to us, other users, or our infrastructure.

Account termination or suspension may result in the loss of access to services, including updates, cloud assets, and support. You are solely responsible for maintaining backups of your data and websites.

4. Licensing & Open-Source Software (GPL)

GPL-licensed software
The Mosaic software source code is licensed under the GNU General Public License version 3.0 (GPLv3). Your rights to use, study, modify, and redistribute the software code are governed exclusively by the GPLv3.

Nothing in these Terms limits, replaces, or overrides your rights under the GPLv3 with respect to the Mosaic software code.

Services and access
While the software code is open source, access to NEXTENDWEB Kft.’s services is subject to these Terms and may require an active plan. Such services include, but are not limited to:

installers, downloads, and updates,
license activation and site association,
cloud-based libraries, themes, templates, and assets,
support and customer assistance.

Termination, expiration, or cancellation of a plan affects access to these services only and does not affect your GPL rights to the software code itself.

Site activation and usage limits
Paid plans include a limited or unlimited number of site activations, depending on the selected plan. A site activation is associated with a specific website where Mosaic is activated.

We enforce activation limits technically. You may deactivate Mosaic on any site at any time; however, the number of new site activations within a given period may be capped according to your plan.

We reserve the right to modify activation limits, enforcement mechanisms, and eligibility criteria at any time. Changes will not retroactively invalidate existing activations.

Transfers
You may transfer a site activation by deactivating Mosaic on one site and activating it on another, subject to applicable activation limits.

Ownership of output
You retain full ownership of all websites, content, designs, templates, and themes created using Mosaic. NEXTENDWEB Kft. claims no ownership rights over your output.

5. Plans, Pricing, Billing

Plans
Mosaic is offered under the following plans, as described on the pricing page at the time of purchase:

Personal: annual subscription, limited to one site
Creator: annual subscription, limited to ten sites
Agency: lifetime plan with unlimited sites

Each paid plan includes access to Pro features, subject to the terms and limitations of the selected plan.

Beta phase
During the beta phase, users may access Mosaic free of charge. Beta access is provided on a best-effort basis and may be modified or discontinued at any time. Beta users are not automatically converted to paid plans when the beta phase ends and must actively choose or upgrade to a paid plan to continue accessing paid services.

Early bird promotions
We may offer promotional pricing or benefits, including free first-year access for annual plans or discounted lifetime pricing. Early bird promotions are available for a limited time, may be ended or modified at any time without notice, and are available to any eligible user while active.

First year free (annual plans)
During promotional periods, annual plans may include a free first year. During this free period, users receive full access to features included in the selected plan. Billing begins automatically at the end of the free period unless the subscription is canceled before renewal.

Pricing and currency
All prices are listed in U.S. dollars (USD) and exclude applicable taxes. The final amount, including any applicable taxes, is shown at checkout.

Seller of record
All purchases are processed by our authorized reseller and merchant of record, FastSpring. Payment methods, tax collection, invoicing, and refunds are handled by FastSpring in accordance with its terms.

Automatic renewal
Annual subscriptions renew automatically at the list price in effect at the time of renewal unless canceled prior to the renewal date. You may cancel auto-renewal at any time from your account dashboard.

Upgrades
You may upgrade your plan at any time. When upgrading, you only pay the difference between your current plan and the new plan, adjusted for the remaining term where applicable.

Refunds
All paid purchases, including annual subscriptions, lifetime plans, and plan upgrades, are eligible for a 14-day, no-questions-asked refund from the date of payment. If a refund is issued, access to paid services is revoked immediately.

Taxes
Applicable sales tax or VAT may be collected by FastSpring where required by law. If applicable, you may be asked to provide a valid VAT identification number during checkout.

6. Delivery, Downloads & Fair Use

Delivery
Mosaic is delivered digitally through your account dashboard. No physical goods are shipped.

Access and availability
Access to downloads, updates, cloud assets, and related services is provided on a best-effort basis. We do not guarantee continuous availability, uptime, or access to any specific service or feature.

Fair use
You agree to use Mosaic services in a reasonable manner. We reserve the right to impose temporary or permanent limits on downloads, cloud asset access, bandwidth usage, or other service usage if your activity:

exceeds reasonable use,
negatively impacts our infrastructure or other users,
appears abusive, automated, or fraudulent.

Service restriction
In cases of excessive or abusive use, we may restrict, suspend, or terminate access to services without prior notice. Such actions do not affect your GPL rights to the Mosaic software code.

7. Updates, Compatibility & Support

Updates
Updates to Mosaic are provided on a best-effort basis and may include bug fixes, improvements, security updates, or new features. Updates are available only while a plan granting access to updates is active.

We do not guarantee the frequency, timing, or content of any update, and we reserve the right to modify, delay, or discontinue updates at any time.

Compatibility
Mosaic is intended to run on supported versions of WordPress and server software. Minimum requirements are published on our website and may change over time.

We do not guarantee compatibility with:

third-party themes, plugins, or services,
custom code or modified environments,
future versions of WordPress or server software.

Support
Support is provided on a best-effort basis only. We do not provide any service-level agreement (SLA) or guaranteed response times.

Support availability, channels, and priority may vary by plan and may change over time. We reserve the right to limit, refuse, or discontinue support for issues related to third-party software, custom development, hosting environments, or unsupported use cases.

Support is offered primarily in English and Hungarian. Requests submitted in other languages may be handled using translation tools.

Beta and experimental features
Beta, experimental, or preview features are provided “as is” and may be changed, limited, or removed at any time. Such features may be unstable, incomplete, or incompatible with other parts of Mosaic. Use of beta or experimental features is entirely at your own risk.

8. Acceptable Use Policy (AUP)

You agree not to misuse Mosaic, the Mosaic software, or any related services.

Prohibited activities include, but are not limited to:

using Mosaic for unlawful, fraudulent, or harmful purposes,
violating intellectual property rights of third parties,
distributing spam, malware, or malicious content,
attempting to bypass, disable, or interfere with activation, usage limits, or technical restrictions,
abusing cloud services, downloads, or infrastructure,
engaging in automated, excessive, or disruptive usage,
reverse engineering, probing, or attempting to access service components not made publicly available
(this does not limit your rights under the GPLv3 with respect to the software code).

We reserve the right to investigate suspected violations and to suspend, restrict, or terminate access to services immediately, with or without notice, where we reasonably believe misuse has occurred.

9. Security Testing

You may review, test, and audit the Mosaic software code in your own environment, in accordance with the rights granted under the GPLv3.

You must not, without our prior written consent:

perform penetration testing, vulnerability scanning, or stress testing of our servers, APIs, cloud services, activation infrastructure, or other hosted systems,
attempt to access non-public systems, endpoints, or data,
interfere with the availability or security of our services.

Unauthorized security testing of our infrastructure may result in immediate suspension or termination of access to services and may be reported to appropriate authorities where required by law.

10. Third-Party Services

Mosaic relies on third-party services to operate and deliver certain functionality. These may include, but are not limited to, payment processing, content delivery networks, hosting providers, email services, analytics, customer support tools, and communication platforms.

Such third-party providers may include FastSpring, Bunny, Cloudflare, Linode, Mandrill, HelpScout, Jira, and MailerLite.

We do not control these third-party services and are not responsible for their availability, performance, security, or data handling practices. Downtime, interruptions, delays, or data loss caused by third-party services are outside of our control and do not constitute a breach of these Terms.

We reserve the right to change, replace, or discontinue the use of any third-party service at any time without notice.

11. Data & Privacy

Our processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

We do not host, store, or have direct access to your WordPress websites, databases, or content created using Mosaic. You are solely responsible for maintaining backups of your websites, data, and configurations.

We are not responsible for any data loss, corruption, or disclosure resulting from your use of Mosaic, third-party software, hosting environments, or external services.

12. EU Consumer Rights

If you are a consumer located in the European Union, mandatory consumer protection laws may apply to your purchase.

Under EU law, the right of withdrawal for digital content is generally lost once performance begins, such as when downloading, activating, or accessing digital content or services.

Notwithstanding the above, NEXTENDWEB Kft. voluntarily offers a 14-day money-back guarantee from the date of payment, as described in these Terms. This voluntary refund policy does not create additional statutory rights beyond those required by applicable law.

13. Intellectual Property

Our intellectual property
Except for open-source components licensed under their respective licenses, all rights, title, and interest in Mosaic branding, trademarks, logos, website content, documentation, marketing materials, and service infrastructure are owned by NEXTENDWEB Kft. or its licensors.

Nothing in these Terms grants you any ownership rights in our intellectual property beyond the limited right to use Mosaic in accordance with these Terms and applicable open-source licenses.

User content and output
You retain full ownership of all websites, designs, templates, themes, and content you create using Mosaic.

By using Mosaic services, you grant NEXTENDWEB Kft. a limited, non-exclusive, non-transferable license to process account-related data solely for the purpose of providing, maintaining, and improving the services.

14. Open-Source Notices

Mosaic includes open-source software components provided under their respective licenses.

Where the terms of an open-source license applicable to a specific component conflict with these Terms & Conditions, the open-source license shall prevail for that component.

15. Disclaimers

MosMosaic, the Mosaic software, and all related services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory.

To the maximum extent permitted by applicable law, NEXTENDWEB Kft. expressly disclaims all warranties, including but not limited to warranties of:

merchantability,
fitness for a particular purpose,
non-infringement,
accuracy, reliability, or completeness,
uninterrupted or error-free operation,
security, availability, or performance.

We do not warrant that Mosaic or any related service:

will meet your requirements or expectations,
will be compatible with third-party software, plugins, themes, or services,
will be free from bugs, vulnerabilities, data loss, or security risks,
will remain available, unchanged, or supported.

You acknowledge that Mosaic is open-source software and that you use it entirely at your own risk, including when used in production environments, during beta phases, or when relying on experimental or preview features.

16. Limitation of Liability

To the maximum extent permitted by applicable law:

No liability for free use
If you access or use Mosaic or any related services without payment, NEXTENDWEB Kft. shall have no liability whatsoever for any claims, damages, losses, or causes of action arising out of or relating to Mosaic, these Terms, or your use of the services.

Limited liability for paid use
If you are a paid user, NEXTENDWEB Kft.’s total aggregate liability for any and all claims arising out of or relating to Mosaic or these Terms shall not exceed the lesser of the total fees actually paid by you in the three (3) months preceding the event giving rise to the claim.

Exclusion of damages
In no event shall NEXTENDWEB Kft. be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

loss of profits, revenue, or business opportunities,
loss or corruption of data,
business interruption,
loss of goodwill or reputation,
costs of substitute products or services,

even if NEXTENDWEB Kft. has been advised of the possibility of such damages or if a limited remedy fails of its essential purpose.

Legal carve-out
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including mandatory consumer protection provisions.

17. Indemnity

You agree to indemnify, defend, and hold harmless NEXTENDWEB Kft., its directors, officers, employees, contractors, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

your use or misuse of Mosaic or any related services,
your violation of these Terms,
your violation of applicable laws or regulations,
your infringement of any third-party rights, including intellectual property rights,
content, designs, or websites you create, publish, or distribute using Mosaic.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully with such defense.

18. Export Controls & Sanctions

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to trade sanctions, embargoes, or export restrictions under applicable laws.

You agree not to use, export, re-export, or transfer Mosaic or any related services in violation of applicable export control, trade, or sanctions laws.

NEXTENDWEB Kft. reserves the right to restrict or terminate access to Mosaic services where required to comply with applicable laws or regulations.

19. Termination

We may suspend or terminate your access to Mosaic services, in whole or in part, immediately and without prior notice, if we reasonably believe that you have:

violated these Terms,
engaged in fraud, abuse, or unlawful activity,
attempted to bypass licensing, activation limits, or technical restrictions,
failed to pay applicable fees,
created legal, security, or operational risk for NEXTENDWEB Kft. or other users.

We may also terminate or restrict access at our discretion where necessary to protect Mosaic, our infrastructure, or our legal obligations.

Upon termination or expiration of access:

your access to services, including updates, downloads, cloud assets, and support, will end immediately,
existing sites using Mosaic will continue to function on the frontend,
your rights under the GPLv3 with respect to the software code remain unaffected.

We reserve the right to refuse future registrations or access by users whose accounts have been terminated.

20. Governing Law & Jurisdiction

These Terms & Conditions, and any dispute or claim arising out of or in connection with Mosaic or these Terms, shall be governed by and construed in accordance with the laws of Hungary, without regard to its conflict of law principles.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Győr, Győr-Moson-Sopron County, Hungary.

21. Miscellaneous

Entire Agreement
These Terms & Conditions, together with our Privacy Policy, constitute the entire agreement between you and NEXTENDWEB Kft. regarding Mosaic and supersede all prior or contemporaneous agreements, communications, or understandings.

Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver
Failure by NEXTENDWEB Kft. to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment
NEXTENDWEB Kft. may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer these Terms without our prior written consent.

Publicity
We will not use your name, logo, or brand for marketing or promotional purposes without your explicit consent. We may use anonymized and aggregated usage statistics for marketing or analytical purposes.

Force Majeure
NEXTENDWEB Kft. shall not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, labor disputes, internet or infrastructure failures, or third-party service disruptions.
